Guardianship
Hackensack Guardianship Lawyers
The guardian of a person is responsible for everything, 24 hours a day, seven days a week. At Greenberg & Lanz, our lawyers have been appointed by the Court as guardian of the person and property and have also been retained privately on numerous occasions to fulfill similar functions (often in conjunction with a power of attorney and/or living will). Having a responsive, experienced, trusted and caring guardian seeing to the affairs of your loved one can put your mind at ease during this stressful time.
To learn how we can assist with the care of your family member, call 201-487-7755 or contact us online today.
Who We Help
Individuals who often need a guardian of the person include older persons who are mentally incapacitated as a result of:
- Dementia
- Alzheimer’s disease
- Mini-strokes
- Developmental disabilities
- Physical disabilities
Some of these persons remain in their homes with live-in, 24 hour care, or part-time care. Others live in facilities which include nursing homes, assisted living, short term sub-acute and/or rehabilitation facilities, group homes, boarding homes or with other family members.
Mr. Greenberg has been appointed by the Court as a special medical guardian for people who have no one to make decisions for them and are unable to do so themselves. They may have Alzheimer’s disease, or be developmentally disabled. He has served as guardian for people living in group homes and those who require more services.
How We Help
As guardian or attorney-in-fact for an incapacitated person, our experienced Hackensack guardianship attorneys become very hands-on in order to develop a complete picture of the person. By getting to know them, having frequent contact and obtaining their input (in instances when this is possible), we are able to really understand the person’s history to aid in decision making. We deal with issues concerning:
- Living arrangements
- Medical care
- At home care
- Finances
- Real and personal property
In particular, we assist or take the lead in assembling, leading and managing the care team. This can include licensed home health aides, nurses, doctors, social workers/care managers, hospice professionals, physical and other therapists. We work with financial advisers to invest whatever financial resources may exist. We can also provide bookkeeping services when appropriate and can represent you and your loved ones in guardianship litigation if needed.
Representative Examples of Our Work
- Mr. Greenberg serves as Court appointed Guardian for an elderly woman with no close relatives who is mentally incapacitated and suffers from dementia. She lives in her own single family residence with 24 hour live in assistance for which Mr. Greenberg is responsible, along with responsibility for managing her very substantial assets. We are proud of the care provided for her as well as the effective management of her assets without deterioration during a period when other managers suffered severe losses due to economic conditions. Her late husband’s final illness lasted almost one (1) year, during much of which time he was also mentally incapacitated. During that time he had a number of surgeries and required, at various times, care in hospitals, nursing homes, subacute and rehabilitation facilities. He also received care at home, including hospice care, for substantial periods of time. We assembled and were in charge of the care teams including aides, nurses, social workers/care managers and doctors.
- For a number of years, Mr. Greenberg served as Court-appointed Guardian for an older woman who was mentally incapacitated and suffered from rather mild dementia. Mr. Greenberg arranged for her to live in a home-like facility in the community so that she could come and go to senior centers and other agreed activities on a schedule set up by Mr. Greenberg. Supervision of this type of Guardianship also requires special knowledge.
- For approximately 15 years Mr. Greenberg advised an elderly client on her various life choices, care and economic matters as her physical condition, unfortunately, steadily deteriorated. Eventually, Mr. Greenberg was responsible for formulating and supervising her care plan and for her moves to assisted living and eventually a nursing home. Mr. Greenberg was also responsible for managing her considerable assets and ultimately for selling her home and liquidating her valuable art and jewelry.
- In another instance the relatively young spouse of a very wealthy older gentleman was suffering from advanced dementia. The older gentleman applied to the Court to be appointed Guardian and to engage in sophisticated estate planning on behalf of his ill spouse. Mr. Greenberg was appointed by the Court to review the proposed estate plan and to report to the Court as to whether the interests of the ill spouse were being properly protected and whether sufficient funds would be available for her future care.

A guardian’s responsibilities include all living arrangements, medical care and management of all finances, real property and personal property. At Greenberg & Lanz, we can represent you in applying to the Court to become a guardian, and then continue to provide guidance in your decisions and duties as a guardian.
A person is in need of a guardian when they have become too incapacitated to make financial, health care and legal decisions for themselves. To have a guardian appointed for a loved one, the person must be determined incapacitated by a judge. Then the Judge will decide who the best person is to be appointed as guardian. This is often a document-intensive and complex legal process, and deserves a dedicated and compassionate attorney who will get to know you and your family member in order to present the best possible case.

Guardianship-Related Fiduciary Services
Guardianship-Related Fiduciary Services
Experienced in Protecting the Vulnerable
Responsibilities short of a full Guardianship can also involve Medical Guardianships, or private appointment as Health Care Representative under a living will (advance directive). In these situations, the attorneys of Greenberg & Lanz are responsible for all medical decisions. In instances of a Medical Guardianship, there is usually an emergent need for immediate medical care and decisions. With regard to private assignments, we may be advised in advance that we will have to step in to make decisions, or again it may be an emergent situation.
We do not “call it in.” We go to the hospital, home, etc., and meet with doctors and other care givers; we assess the person’s total condition and needs and try to make the best decision for them.
One doctor told us that for over 20 years he had been working with attorneys who were appointed Guardian and that Mr. Greenberg was the first one who came to the hospital; the other attorneys did not come to the hospital when their ward was hospitalized, but rather simply telephoned the doctor and, no matter how serious the situation was, told the doctor to do what he thought best.
Similarly, appointment as a Guardian ad Litem involves appointment for a particular purpose, usually for a short period of time. This can include the task of investigating and advising the Court as to whether the person is, in fact, mentally incapacitated, and it can also include investigation and advice to the Court as to who might be an appropriate Guardian in each instance. Mr. Greenberg has also been appointed by the Court as attorney for alleged mentally incapacitated persons.

Getting to Know You
Administering a trust requires more than just disbursing funds. A trustee is responsible for strategic and sound investment decisions to keep the funds safe into the future. A trustee must also make sure the right spending decisions are being made. This involves working closely with the client and beneficiaries in order to know their circumstances and goals. This close relationship provides confidence in working towards these decisions together.
For instance, if a trust is set up to be used for college tuition, our attorneys are going to meet with the beneficiary to make sure they are getting the best tuition in accordance with the trust funds, that they are getting any loans they may need and making sure that the college they choose is the best college for their future goals.
This high level of personal commitment to our clients ensures that the trust will be administered in accordance with the decedent’s wishes. It also gives peace of mind that should something unexpected occur, the trust and the beneficiaries will be taken care of.

Corporate/Business Law
Shareholder Disputes/Corporate Divorce
Hackensack Shareholder Dispute Lawyers
New Jersey Business Litigation Lawyers
Untangling a business entity such as a corporation, limited liability company (LLC) or partnership is just as complicated, if not more so, than ending a marriage. Not only is there a high level of emotion involved, but also financial, tax and accounting considerations. In the beginning, you and your business partners are excited about your new business and often you believe that nothing could ever go wrong. As the business climate changes, grows and peoples’ lives change, so do the needs and arrangements of your company.
Just like in a family, there is no one formula that works for every situation. However, there is one thing you can do to minimize your stress and protect your interests: contact Greenberg & Lanz. Our attorneys have more than 30 years of experience helping businesses form and taking them apart as the situation demands.
Hackensack Shareholder Dispute Attorneys
When there is a dispute between shareholders, partners, members or managers, litigation may seem like the only way out. By looking at your company’s situation from the inside-out, the attorneys at Greenberg & Lanz are able to offer all possible solutions to your problem. We are often able to put forth multiple options to meet your needs. However, if litigation is the only option, our thorough knowledge of your company allows us to strategically negotiate and aggressively litigate to protect your interests.
Representative case: Greenberg & Lanz represented one brother in a dispute with another brother over a trucking business. As there were multiple issues that could not be settled, litigation was the only option. We were able to locate experts and use them effectively to evaluate the real estate and manufacturing aspects of the business. Throughout the litigation, we were able to support our client in such a way as to retain the value of the business to meet his best interests once the litigation was successfully resolved for our client.
Another solution at times could be a buy-out of one partner by another. This would include a valuation of the departing owner’s interest, and structuring an agreement that makes the most business and financial sense for your specific company. Another option would be dividing the business assets so each partner walks away with either a free-standing company or line of business.

Drafting a Contract
Hackensack Business Contracts Lawyers
New Jersey Contract Lawyers
At Greenberg & Lanz, we know the importance of making sure that your business contracts and agreements are negotiated and drafted correctly to ensure that your interests and rights are protected. We take a strategic approach when it comes to business contracts and agreements. We want to make sure that your present and long-term objectives are taken into consideration while also protecting you from unnecessary lawsuits.
In-Depth Legal Representation
A lot of business owners have a general idea of what a business contract or commercial lease entails. They may have a specific goal in mind and know that they want to protect their rights while attaining that goal. However, the details of a business contract are complex and need to be specific to your business but still flexible enough to meet all of your needs.
At Greenberg & Lanz, we do not believe that assisting clients in drafting contracts means just filling out a form. We want to learn as much as possible about our clients and their business. By learning about who the client is, what their product or service is and the goals of the business, we are able to establish documents tailored to our client’s unique needs. We take a comprehensive survey of the entire business, not just regarding one specific part, in order to ensure all relevant facts are included in your decision making.
Our Hackensack business contracts attorneys also guide clients through negotiating specific terms of a contract. We never shy away from the hard issues or disputes because we understand that establishing the correct language and making sure that all parties are on the same page is often the difference between a successful contract, and a contract that could lead to disputes later on. Effective contracts will not only help your business now, but well into the future.

Uniform Commercial Code (UCC) & Secured Transactions
Hackensack Uniform Commercial Code Lawyers
New Jersey Secured Transactions Lawyers
In a secured transaction a borrower agrees that the lender may take collateral owned by the borrower should the borrower default on a loan; in other words, it is a way to secure a loan. Contracts for the sale, lease, and/or distribution of goods are often governed by the Uniform Commercial Code (UCC) Secured transactions and cases arising under the UCC comprise a large portion of commercial litigation.
At Greenberg & Lanz, our attorneys have more than 30 years of experience assisting clients with questions and concerns related to secured transactions and the UCC. To discover how we can help you, call us at 201-487-7755 or contact us online to schedule your free initial consultation.
Experienced, Strategic Representation
UCC and secured transaction cases typically involve:
- Purchases and sales
- Leases
- Negotiable instruments
- Bank deposits
- Funds transfers
- Letters of credit
- Bulk sales
- Investment securities
- Collateral interests
- Floating liens on inventory
- Accounts receivable
- Personal guaranties
Many of these agreements are interlinked. At Greenberg & Lanz, we know that clients need a practical and viable way to ensure that all parties can be secure in their business practices by establishing documents that close loopholes, are easily enforced and protect their rights. We also always consider the risks associated with such agreements and are honest with our clients about whether or not the relationship they are forming is beneficial to their company.
When our clients are doing business with suppliers and customers around the country, we often work with attorneys in different states who are familiar with specific state rules concerning these transactions. This safeguards our client’s interests and protects their rights at every stage in the process.
As secured transactions and sales of goods involving the UCC often expand into other areas of business, including creative financing and letters of credit, it is important that your legal representative is knowledgeable about the entire business. This knowledge helps the business run more smoothly today, while looking towards profit maximization into the future.

Complex Litigation
Shareholder Dispute Litigation
Hackensack Shareholder Dispute Lawyers
New Jersey Shareholder Litigation Lawyers
Many businesses large and small, despite their commercial success, encounter conflicts and litigation. Sometimes partners, shareholders or members decide they want to move in a different direction, personal motivations change or an owner wants a larger controlling share. Whatever the situation may be, when you are involved in shareholder dispute litigation, you need an attorney who understands your business and will look after your best interests.
Our attorneys have more 30 years of experience helping businesses form and taking them apart as the situation demands.
Experience Counts
Shareholder dispute litigation is another area in which experience really counts. In New Jersey, shareholder dispute litigation is usually handled in the Chancery Division of Superior Court. In litigation we represent our client aggresivley through the time of trial if necessary and we make sure that the business is protected in the meantime.
Service companies, manufacturers, and other companies and partnerships may require legal action to determine how to separate assets after a split. Covenants not to compete and trade secrets further complicate break-ups. Actions in this area are highly complex and intensely document driven.
At Greenberg & Lanz, our attorneys competently and thoroughly handle claims involving:
- Breach of fiduciary duty
- Minority shareholder and partnership rights
- Conflicts of interest and self-dealing
- Excessive management compensation
- Unfair buyout agreements
- Failure to pay dividends or distributions
- Shareholder or partnership appraisal rights
In addition, Chancery Division has appointed Mr. Greenberg as special fiscal agent in business ownership litigation.

Family Dispute Litigation
Probate/Family Dispute Litigation
Unfortunately, it is often the case that pre- or post- death serious disagreements arise within a family over Mom and/or Dad, their assets, with whom they will live, their care and/or the facility, if any, in which they will reside. Repeatedly we urge that planning is the best way to avoid these issues.
When the individuals are willing to engage in a comprehensive strategic planning process most, if not all, issues can be eliminated, or at least mitigated. When planning fails, litigation is at times unavoidable. The actions of the family toward Mom and/or Dad are often abusive in terms of the family trying to impose the solution that is best for them, but not for Mom or Dad.
We often receive referrals from doctors, social workers and other health care professionals where this type of abusive situation is already in progress. More than one doctor has told us that a patient is being referred to us for the reason that the doctor “knows that we will protect the person.”
These family disputes can involve Mom or Dad’s assets, who will hold the power of attorney and/or be the health care representative, will Mom or Dad live with this child or that one, what type of care givers will be provided. Often a facility is chosen based on the least expensive or the closest geographically rather than what is best for Mom or Dad. In some situations, no care is being provided.
Undue Influence and Other Complications
There are often issues of undue influence and questions as to whether gifts or loans were intended. If a Guardianship is involved, there is at times a dispute as to which family member should be appointed Guardian.
At other times, one or more family members have restricted access by their siblings to a parent. Often a Will contest is involved.
Greenberg & Lanz is experienced in litigating all of these issues.

When a challenge to a will is made, litigation is sometimes unavoidable. The attorneys of Greenberg & Lanz can be there to protect the decedent’s wishes and the rights of the heirs.
There are many reasons that family members and others challenge a will. We help clients who are involved in family disputes concerning:
- Inheritance dispute between family members
- Who will hold power of attorney or be named health care representative
- Last minute changes to a will
- Changes to a will when a person is very ill or while living in a health care facility
Estate Litigation: Protecting the Vulnerable
At Greenberg & Lanz, we repeatedly urge that planning is the best way to avoid family dispute issues. When the individuals are willing to engage in a comprehensive, strategic estate planning process, most, if not all, issues can be eliminated. We understand that this is not always possible. Often family members are trying to impose the solution that is best for them, not for the individual. We often receive referrals from doctors, social workers and other health care professionals who believe their patient needs to be protected from abusive family members regarding their assets and future care decisions.
Representative Examples of Our Work
- One set of children held their parent against her will and refused to allow her to return to her home with another sibling. They were attempting to have the parent change her estate documents in their favor. Ultimately, this matter had to be litigated.
- An elderly woman was suffering from dementia. One child insisted that the parent continue to live in her own home attended by an untrained attendant. On behalf of the other child, we were successful in forcing the replacement of the unqualified attendant with licensed and trained care givers.
- Nieces and nephews of an older woman suffering from mild dementia removed her from her residence and then took her out of this country, all of this being against her will and part of an effort to separate the woman from her longtime companion whom the nieces and nephews disliked. Litigation we initiated on behalf of the companion resulted in having the woman returned to the U.S. and her relationship with her companion restored.
In many instances, litigated and not, we have dealt with questions of undue influence and the validity, or lack thereof, of wills, gifts and other transfers.

Hackensack Guardianship Litigation Attorneys
Any time that a guardianship action is initiated, some type of controversy is likely to exist related to whether or not the incapacitated person is sufficiently unable to care for themselves that they need a guardian. Additionally, there could be allegations of abuse or who should be the guardian to the exclusion of someone else. In either of these cases, litigation generally arises when the family does not agree as to the best course of action for the incapacitated person.
The attorneys at Greenberg & Lanz often prepare and file complaints in Court on behalf of a family member seeking declarations of mental incapacity and appointment of guardians. While these applications are typically uncontested as to the issue of mental incapacity, when they are contested, we are in a position to litigate that issue to its conclusion.
